Terms of Service
These terms govern the services Northlane Tech ("we", "us") provides to you ("client", "you"). By engaging us — verbally, on WhatsApp, or via written agreement — you agree to these terms unless we both sign a separate contract that overrides them.
1. What we deliver
The exact deliverables, timeline, and price are agreed in writing on a per-project basis (typically a quote sent via WhatsApp or email). The scope in that quote is the binding scope. Anything outside of it is treated as a change request and may carry additional cost.
2. Payment
For project work, we typically invoice in three milestones (30% / 40% / 30%) unless agreed otherwise. Subscriptions (hosting, retainers, automation) are billed monthly in advance. Payments are accepted in SAR via bank transfer, Mada, Apple Pay, or STC Pay. Invoices are payable within 7 days unless stated otherwise.
3. Timelines
Each project has a written timeline agreed before kickoff. Timelines reflect realistic estimates based on the agreed scope and assume timely client input (content, approvals, access to third-party accounts). Delays caused by force-majeure events, third-party service outages, or late client input shift the timeline accordingly. Any change to the agreed scope is treated as a change request, which may extend timelines.
4. Ownership of work
On full payment of a project, you receive ownership of the source code we write specifically for you. Open-source libraries we use remain under their original licences. We may reuse generic, non-confidential patterns and components in future client work.
5. Confidentiality
We treat your business information, customer data, and project details as confidential. We will not share them with anyone outside our delivery team without your written permission. We will sign an NDA on request.
6. Cancellations
- Project work: work is split into milestones. If a project is cancelled before kickoff, any deposit paid is refundable less reasonable costs already incurred. Once a milestone has started, completed milestones are non-refundable but you keep all deliverables produced.
- Subscriptions: month-to-month with no long-term commitment. Cancel any time with 30 days written notice.
7. Liability
To the maximum extent permitted by Saudi law, our total liability for any claim arising out of or relating to our services is limited to the fees actually paid by you for the specific service in the 12 months preceding the claim. We are not liable for indirect, consequential, incidental, special, or lost-profit damages.
Software is provided "as delivered" against the agreed scope. We make commercially reasonable efforts to deliver to ZATCA Phase-2 specifications and other applicable specifications agreed in writing, but we do not warrant uninterrupted operation, perfect compliance with future regulatory changes, or fitness for any particular purpose beyond what is documented in the project scope.
8. Hosting & third-party services
Where we set up hosting, domains, payment, or government accounts on your behalf, those accounts belong to you and are billed directly by the relevant providers. We are not responsible for outages, policy changes, fees, or actions by those third-party providers.
9. Acceptable use
You agree not to use our work to send unsolicited marketing in violation of applicable law, to operate unlawful businesses, or to process content that is illegal under Saudi law. We reserve the right to terminate engagements that breach this clause; fees paid for completed milestones remain non-refundable in such cases.
10. Governing law
These terms are governed by the laws of the Kingdom of Saudi Arabia. Disputes will be resolved in good faith first; if unresolved, in the competent courts of Riyadh.
11. Changes
We may update these terms; material changes will be communicated to existing clients. The version in force at the time of your engagement is the one that applies to that engagement.
